SAIHEAT gives Canopy Wave 78% voting control

SAIHEAT agreed to merge with Canopy Wave in a deal that values the open-weight inference platform at $60 million pre-money versus SAIHEAT’s $40 million, with Canopy Wave shareholders expected to hold 78.44% of voting power after closing. The merger announcement says the combined company will retain SAIHEAT’s modular data-center business, add GPU-cloud orchestration and OpenAI-compatible APIs, and raise about $4.5 million in a concurrent private placement; closing remains subject to shareholder, Nasdaq and financing approvals. The structure extends the archive’s open-weight cost case into public markets, but inference buyers should verify leased capacity and data-retention terms before treating a public-company platform as durable supply.
